Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before accessing or using SocialMD.ai ("Platform", "Service") operated by Med97 Inc. ("Company", "we", "us", "our"). By creating an account or using any part of the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a clinic, hospital, or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to any part of these Terms, you must immediately discontinue use of the Service.

1. Definitions

• "Platform" / "Service" — the SocialMD.ai web application, APIs, and all associated tools.
• "User" / "Doctor-User" — any individual who creates an account; must be a licensed medical professional.
• "Organisation Account" — an account held by a clinic, hospital, or multi-doctor practice.
• "Content" — any text, images, posts, captions, or hashtags generated through the Service.
• "AI-Generated Content" — content produced by AI models integrated into the Service.
• "Clinical Input" — de-identified case information provided by the User to generate content.
• "Training Data" — anonymised input-output pairs derived from user interactions, used to improve AI models.
• "Third-Party Platforms" — social media networks including Instagram, LinkedIn, Facebook, Twitter/X, and Google My Business.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use SocialMD.ai, you must:

• Be at least 18 years of age.
• Be a registered medical professional legally authorised to practice medicine in your jurisdiction.
• Provide accurate, complete, and current information during registration.
• Not be barred from receiving services under applicable laws.
• Have a valid email address and phone number capable of receiving OTP verification.

2.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at hello@med97.com if you suspect any unauthorised access. We are not liable for loss resulting from unauthorised use where you failed to keep credentials secure.

2.3 Account Verification

We may require verification of your medical credentials, including your NMC/MCI registration number. Accounts that cannot be verified may be suspended or terminated.

3. Description of Services

SocialMD.ai provides an AI-powered content creation platform designed exclusively for licensed medical professionals. The Service includes:

• Case to Post: Converting clinical case descriptions into platform-ready social media posts.
• Myth Buster: Generating medically accurate myth-versus-fact content for patient education.
• Condition Explainer: Creating patient-friendly explanations of medical conditions.
• Thread Generator: Producing multi-post Twitter/X threads on medical topics.
• Awareness Posts: Generating content for health awareness days and national health campaigns.
• Science Updates: Summarising recent peer-reviewed research for social media.
• Fun Facts & Stories: Creating humanising non-medical content to build personal connection with followers.
• Language Translation: Translating generated content into 12+ Indian regional languages and 11+ world languages.
• Direct Publishing: Posting content directly to connected social media platforms via OAuth integration.

We reserve the right to add, modify, or discontinue features at any time with reasonable notice.

4. Subscription Plans and Pricing

4.1 Available Plans

Current pricing available at socialmd.ai/pricing. Prices are exclusive of applicable GST.

4.2 Plan Changes

Upgrades take effect immediately with pro-rata billing. Downgrades take effect at the end of the current billing cycle. The Free plan cannot be selected mid-cycle.

4.3 Free Plan

Limited to 5 AI-generated content pieces per calendar month. Unused generations do not carry over. We reserve the right to modify free plan limits with 30 days' notice.

5. Payment Terms and Billing

5.1 Payment Processing

All payments are processed by Razorpay Payment Solutions Private Limited. We do not store full card details. Payment information is tokenised and handled by Razorpay in compliance with PCI-DSS standards.

5.2 Billing Cycle

Monthly subscriptions are billed on the same calendar date each month. Annual subscriptions are billed once per year on the anniversary of the subscription start date.

5.3 Failed Payments

We make up to three retry attempts over seven days. If payment continues to fail, your account is downgraded to the Free plan until payment is resolved.

5.4 GST and Invoicing

All prices are exclusive of GST. GST at the applicable rate is added at checkout. We issue GST-compliant invoices for all paid transactions. B2B customers may provide their GSTIN for Input Tax Credit purposes.

6. Refund and Cancellation Policy

6.1 7-Day Money-Back Guarantee

If you are not satisfied, you may request a full refund within seven (7) calendar days of your first payment. This applies to your first subscription purchase only. To claim, email hello@med97.com with your registered email and transaction ID.

6.2 Pro-Rata Refunds

After the 7-day window, annual subscriptions are eligible for a pro-rata refund: Refund = (Remaining Days ÷ Total Days) × Amount Paid. Monthly subscriptions are non-refundable after the 7-day window.

6.3 Non-Refundable Situations

• Accounts terminated for Terms violations.
• Image generation credits once consumed.
• Renewals not cancelled before the renewal date.

6.4 Cancellation

Cancel at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing period. Your account reverts to the Free plan thereafter.

7. User Conduct and Prohibited Activities

7.1 Content Prohibitions

• Generating content that constitutes personalised medical advice to specific patients without clinical examination.
• Including identifiable patient information (name, DOB, Aadhaar, PAN, contact) in any Clinical Input.
• Creating false, misleading, defamatory, or medically inaccurate content.
• Violating MCI/NMC ethical guidelines on medical advertising.
• Creating content that falsely claims cure rates, guaranteed outcomes, or disparages other doctors or hospitals.
• Promoting unlicensed treatments or violating the Drugs and Magic Remedies Act, 1954.

7.2 Technical Prohibitions

• Reverse-engineering, decompiling, or extracting source code of the Platform.
• Using bots or automated tools to access the Service beyond its intended use.
• Circumventing quota limits, authentication, or access controls.
• Sharing, reselling, or sublicensing access to the Service without written authorisation.
• Introducing malware or malicious code.
• Conducting security testing without express prior written consent.

7.3 Account Prohibitions

• Creating accounts on behalf of another person without their knowledge and consent.
• Allowing non-medical personnel to access your individual account.
• Impersonating any person or falsely claiming medical credentials.

8. Medical Disclaimer and Content Standards

By using the Service, you agree to:

• Review all AI-generated content for clinical accuracy before publishing.
• Ensure compliance with NMC regulations on medical communication.
• Add appropriate disclaimers where required by professional guidelines.
• Not use generated content as a substitute for direct patient consultation.
• Accept that the accuracy of AI-generated content is not guaranteed.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Platform, including its software, design, trademarks, brand identity, AI models, and technology, is the exclusive property of Med97 Inc. and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international IP laws.

9.2 Your Content and Licence to Us

You retain ownership of your Clinical Input and final published content. By submitting Clinical Input, you grant Med97 Inc. a non-exclusive, royalty-free, worldwide, perpetual licence to anonymise and use such input in AI training datasets. This licence survives account termination.

9.3 AI-Generated Content Ownership

You own the AI-generated content produced for your account and may use, modify, publish, or monetise it without restriction. We do not guarantee uniqueness of generated content.

9.4 Feedback

Feedback or suggestions you submit grant us an irrevocable, perpetual, royalty-free licence to use without obligation or compensation.

10. Third-Party Platform Integrations

By connecting a social media platform account, you authorise us to publish content on your behalf and acknowledge that your use is also subject to each platform's own Terms of Service. We are not responsible for API changes, content removal by third-party platforms, or enforcement of their policies. Connected platform tokens are stored encrypted and deleted upon disconnection or account deletion.

11. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, incorporated into these Terms by reference. We process personal data in compliance with the IT Act 2000, the Digital Personal Data Protection Act 2023 (DPDP), and where applicable, the GDPR.

12. Account Suspension and Termination

12.1 Termination by You

Delete your account from Settings → Account. A 30-day retention period applies before permanent deletion. Payment records are retained for 7 years per legal requirements.

12.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, provide false credentials, engage in fraudulent behaviour, or create regulatory or reputational risk. Serious violations may result in immediate suspension. For less severe cases, 7 days' notice will be provided.

12.3 Effect of Termination

Upon termination, your access is revoked. Provisions regarding IP, indemnification, limitation of liability, and governing law survive termination.

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Downtime may occur due to scheduled maintenance, emergency patches, third-party outages, or force majeure. Scheduled maintenance is announced with at least 24 hours' notice where possible. SLA credits for paid plans are available on request.

14. AI Training Data and Research Use

We collect anonymised training pairs consisting of: the anonymised clinical context (stripped of all identifying information), AI-generated output, your engagement signals (like, copy, publish), and metadata (specialty, city/state, platform). This data is used to fine-tune AI models for better specialty-specific output. All data is rigorously anonymised — no patient can be identified.

You cannot opt out of Training Data collection. If this is not acceptable, you must not use the Service.

15. Disclaimers of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, accuracy of AI-generated content, or uninterrupted service. You assume full responsibility for reviewing all content before publishing.

16. Limitation of Liability

To the fullest extent permitted by law, Med97 Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or reputation. Our total aggregate liability shall not exceed the greater of: (a) total subscription fees paid by you in the preceding 12 months, or (b) ₹5,000.

17. Indemnification

You agree to indemnify and hold harmless Med97 Inc. from any claims, damages, and costs arising from: (a) your use of the Service; (b) your violation of these Terms; (c) content you generate, edit, or publish; (d) false information provided during registration. This obligation survives account termination.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Contact us at hello@med97.com before initiating formal proceedings. We will make good-faith efforts to resolve disputes within 30 business days.

18.2 Grievance Redressal

We have a formal Grievance Redressal mechanism under the IT Act 2000 and Consumer Protection Act 2019. See our Grievance Redressal Policy.

18.3 Arbitration

Unresolved disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. Seat of arbitration: Hyderabad, Telangana. Language: English. The arbitrator's decision is final.

18.4 Class Action Waiver

To the extent permitted by law, you waive any right to participate in class action proceedings against Med97 Inc.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of India. For disputes not subject to arbitration, you submit to the exclusive jurisdiction of courts of Hyderabad, Telangana, India. Mandatory rights under the laws of your country of residence are not excluded.

20. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. If you disagree, cancel your subscription per Section 6.4.

21. General Provisions

• Entire Agreement: These Terms together with the Privacy Policy and Acceptable Use Policy constitute the entire agreement between you and Med97 Inc.
• Severability: If any provision is unenforceable, remaining provisions continue in full force.
• Waiver: Failure to enforce a provision does not waive our right to enforce it in future.
• Assignment: You may not assign your rights without prior written consent. We may assign in connection with a merger or acquisition.
• Force Majeure: Neither party is liable for failure due to events beyond reasonable control.
• Language: These Terms are in English; in case of conflict with any translation, English prevails.
